Senior Legal Associate

About the role

SCLS is seeking a Senior Legal Associate to join its multidisciplinary team in Damascus. The role is full‑time and on‑site, focusing on high‑impact legal and advisory work that supports Syria’s transition, institutional development, and economic recovery.

Key responsibilities

• Lead legal and regulatory research, analysing legislation, policies and regulatory frameworks relevant to SCLS and its clients.
• Draft and review contracts, agreements, legal opinions, memoranda, reports, policy documents and analytical briefs to the highest professional standards.
• Advise on incorporation, governance, management, restructuring and regulatory compliance of public and private joint‑stock companies.
• Provide legal advice on shareholders’ rights, share transfers, capital changes, share issuances, shareholders’ agreements, boards of directors and general assembly procedures.
• Analyse legal and regulatory matters related to investment portfolios, asset management, securities and financial products.
• Advise on banking and financial matters, including financing arrangements, credit facilities, guarantees, regulatory compliance, risk management and contractual relationships with financial institutions.
• Conduct legal due diligence and assess risks associated with companies, transactions, investment opportunities and development projects.
• Support mergers and acquisitions, corporate restructuring, investment transactions and other complex commercial arrangements.
• Contribute to the design and delivery of advisory engagements related to investment, governance, institutional development, public policy and economic recovery.

Required profile

• Advanced legal expertise in joint‑stock companies, securities and banking law.
• Proven experience drafting and reviewing contracts, legal opinions and policy documents.
• Ability to conduct legal due diligence and risk assessments for investment and development projects.
• Experience supporting mergers and acquisitions, corporate restructuring and complex commercial transactions.
